October is the time of year that we start hearing the horrible, sad stories of people who die in house fires. A house fire is really one of the biggest threats to your home and family. The sad part about house fires is most of them could have been prevented.
When a fire starts, time is of the essence. People need to be alerted immediately and have enough time to respond before the fire overtakes the entire house. If there are children or elderly individuals in the home, it is even more urgent that you have ample time to react.
The first thing that all homeowners, apartment dwellers, and college students living in dorms and in off-campus housing should do is make sure there are adequate smoke detectors in the home or dwelling. Dont skimp on your smoke detectors whether it is the cost or the number of smoke detectors.
There should be a smoke detector on each level. On the main level make sure there is a smoke detector in a hallway, laundry room, and any bedrooms. On the second level have a smoke detector in the main hallway and again in each bedroom. If you have a basement, put one near any major electrical panel or at the top of the stairs leading out of the basement.
October is also the time of year to replace the batteries in your smoke detectors. Make sure to test your smoke detectors at this time and during the year again ensuring they are working properly. A higher bid or rival offer for Japan Land?
TYCOON Oei Hong Leong may be further from his dream of controlling a Japanese company than was earlier thought, if the advice by Japan Lands independent financial adviser holds any weight.
Last week, DMG Partners Securities advised directors and shareholders of Japan Land to reject the takeover offer by Mr Oei - who owns a 4.01 per cent stake - to buy the remaining shares at 60 cents apiece, citing insufficient compelling reasons.
The offer price is at an estimated 7.14 per cent premium to Japan Lands net tangible assets (NTA) per share as at March 31. But based on revalued NTA per share, it could be at a discount ranging from 13.04 per cent by the most conservative estimate to as high as 21.05 per cent.
With the bid perceived to be too low, it may require more sweeteners for shareholders to jump at the offer, particularly those who bought in at more than a dollar one year back even before Japan Land did a 10-into-one share consolidation. Certainly, no shareholder would wish to exit at a loss.
The big question hence hinges on whether Mr Oei would up the ante with a higher bid. And to answer that question, one should assess his level of interest in this takeover deal.
Shareholders who attended Japan Lands annual general meeting on July 30 will vividly recall his surprise appearance one day after he made an offer for Japan Land. He also told the press that the Japanese market is familiar ground. Merely one week ago, he gave a talk at a management seminar in Tokyo on corporate governance.
So clearly, the undeterred businessman, despite two failed investments in Japanese paper options in the 1990s, is now taking another shot - this time through a Japanese firm with a strategic stake in the largest shareholder of Tokyo Stock Exchange (TSE).
Japan Lands effective 14.13 per cent associate Japan Asia Holdings Japan (JAHJ) holds a 3.52 per cent stake in soon-to-be-listed TSE. By gaining control of Japan Land, Mr Oei is estimated to lift his effective stakeholding in JAHJ, including his personal stakes, to over 40 per cent.
So its an opportunity to hold a valuable controlling stake in TSEs largest shareholder. As well, JAHJ is also sitting pretty on stakes in three TSE-listed and two Jasdaq- listed companies, among its assets. Taking over Japan Land means so much more than its core business.
So it is little wonder that Mr Oei is making a painstaking effort to accumulate his 4.01 per cent stake or some five million shares in Japan Land in illiquid trading, followed by the launch of a takeover offer - which indicates just how serious his intentions are.
If that reading holds true, then a higher bid may be the next move for Mr Oei to address the perceived undervaluation of Japan Land even by conservative assumptions - note that DMG pegged TSEs market value at only $3.36-6.13 billion upon listing. That figure is less than the the market value of even the Singapore Exchange (SGX).
There are other issues facing the offer now. JAHJ is also undergoing a backdoor listing via a share swap with Jasdaq-listed ATL Systems. It may make less economic sense to gain control of Japan Land after the share swap is completed on the expected date of Nov 4, since it could no longer equity-account for JAHJ.
Therefore, any revision to the offer should take place sooner rather than later. It probably is in the interest of any bidder to prevent a failed first attempt as that would mean an agonising 12 months wait to make a second offer under regulatory requirements. By then, so many things would have changed.
There is also the question of how much higher it would take for the bid to entice shareholders. A revised offer price may still leave many shareholders limping out with losses, as many have bought at well above $1.50 last year.
But all is not lost for shareholders - yet. So far, there has been a quiet but key player in Japan Land, Aizawa Securities - with the largest stake of 21.14 per cent - and which has been shoring up its stake in Japan Land over the past two months. After Mr Oei made his offer, Aizawa has consistently bought more Japan Land shares at over 60 cents a share. This begs the question what this move implies. Is Aizawa going to give up these shares to Mr Oei at a loss or is it contemplating making a competing offer?
As Mr Oeis takeover offer draws to a close on Sept 12, shareholders will be keenly watching for the next moves by the tycoon and Aizawa.

Local fire departments wary of hurricane windows

Approximately four years ago, Joe Paolo of the Stafford Township Volunteer Fire Company was assisting with a fire call in Harvey Cedars, when a call came to ventilate the house.
I took out the sledge hammer and tried to swing, and the window would not break, Paolo recalled. Then I had to go back and get a saw to cut through the window. If I would have known that the window was hurricane-proof and the window had some type of marking, I would have saved the five minutes that it took to get the saw. During a situation like that, every second counts.
While hurricane-proof windows provide homeowners with protection from dangerous storms, they can cause problems for firefighters trying to gain entry to the house. Homes with the windows are not required to have any markings to notify first responders of the windows.
The windows, featuring two sets of glass, can withstand sustained winds from 110-120 miles per hour within 1 mile of the coast and 120-129 miles per hour greater than 1 mile from the coast.
When broken, the first pane of glass like a car windshield. The only way for firefighters to cleanly break through the first pane is to cut it with a saw.
The issue of gaining entry to homes with hurricane windows has become a concern to local fire departments.
s something that concerns all of the departments, said Sean Marti, chief of the High Point Volunteer Fire Company. You never know when you are going to encounter these windows, and during the times of a rescue, every second counts.
The High Point Fire Department services all of Harvey Cedars and sections of North Beach and Loveladies in Long Beach Township.
There needs to be some type of marking on the windows to make sure that we know the equipment that we need, Marti said.
In order to educate departments on hurricane windows, WindowRama and Super Enterprises demonstrated how to get through the windows Thursday at the Stafford Volunteer Fire Company. The event drew fire departments from all over the area, including Barnegat Light, Surf City, High Point and Harvey Cedars.
When a department gets to a call, they do not know what type of windows they are, said John Barbagallo, director of business development for WindowRama. We thought it would be nice to come to the departments and show them the windows and the best way to get into them.
Heidi Michel, township fire official, said the township has recently started looking into developing some type of marking system for hurricane windows.
Having a marking system would make it easier for firefighters to know that these are hurricane windows and they will have to use a saw to get through them, Michel said. Right now, we are currently in talks with the building department about possibly developing a system to let the departments know that these windows are in the house.
Township Administrator Paul J. Shives said the township would be in favor of looking into developing a system to notify departments that a home has the windows.
Maybe we can look into starting a public information campaign, where we can have businesses sponsor the creating of stickers that would allow the department to know right away what kind of window it was, Shives said.
Time is of the essence during a fire call, said Paul Morris, a commercial division manager for Super Enterprises.
Come a call at 2 a.m. and its dark out, there should be a marking on the window that lets you know if the windows are hurricane proof. Every second counts Morris said. That is why getting an international marking system is so critical.
Morris said the International Building Council, the group that develops the International Building Code, is in the process of developing a marking system for the hurricane windows, but that could still take some time.
So right now, it has to fall on the township to develop some type of system to mark the homes that have these type of windows, Morris said. The international code is going to take some time, because the different council has to come to a common marking system for these types of windows.
